Exercise of Warrants and Issue of Equity

The Company announces that it has received a Notice of Exercise from a warrant holder in respect of 250,000 warrants over shares at a price of 2p per ordinary share.

The Company issued 250,000 new Ordinary Shares on 14 December 2021 to the exercising warrant holder.

Furthermore, the Company has agreed to issue 156,250 Ordinary Shares in lieu of cash for professional services provided to the Company. The 156,250 Ordinary Shares were issued at a price of 32 pence, the prevailing share price at the time of negotiations.

Application has been made for the new Ordinary Shares to be admitted to trading on AQSE which is expected to occur on 17 December 2021 (“Admission”).

Following this issue, the issued share capital of the Company is now 112,534,197 Ordinary Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or change to their interest in, the Company under the FCA’s Disclosure and Transparency Rules
