Provision of further Loan into Coldpress Foods Ltd
S-Ventures PLC is pleased to announce, further to the announcement of 22 September 2020, that the Company has agreed to invest a further £75,000 into Coldpress Foods Ltd, via a secured convertible loan note (“CLN”).

Terms:
A seventeen-month CLN has been put in place at an annual interest rate of 15%, with the first interest payment due in seven months of the CLN being provided. The loan is convertible into shares of Coldpress Foods in the event of default. In the event that the CLN is converted at seven months of its term commencement, the Company will be issued with a further 4.5% of the enlarged equity of Coldpress Foods.
S-Ventures currently has an equity position of 3.3% in Coldpress Foods, with an option to increase its stake to 6.2%. Today’s announcement allows the Company, in the event of default, to potentially own up to 10.7%, including the option announced on 22 September 2020, assuming the option is exercised and the Company loan is converted into equity of Coldpress Foods.
